3. Eligibility
You must be legally capable of entering into a binding agreement and must provide information that is accurate, complete and current. You may not use the platform where doing so would violate applicable law or regulation.
4. Account Registration
You may be required to create an account using your name, email address and other information requested by the Company. Email verification and a transaction PIN may form part of the account-registration and transaction-security process.
5. Accuracy of Information
You are responsible for ensuring that all information supplied to the Company is true, accurate, complete and up to date. The Company may restrict or suspend an account where information is inaccurate, incomplete, misleading or cannot be satisfactorily verified.
6. Account Security
You are responsible for keeping your login credentials, transaction PIN, verification codes and other account-security information confidential. Notify the Company promptly if you suspect unauthorised access or fraudulent activity.
7. Digital-Asset Transactions
Digital-asset transactions are subject to market conditions, applicable limits, system availability, verification requirements and third-party infrastructure. Digital assets may be highly volatile and may result in substantial loss in value. DE-NICK does not provide investment, financial, tax or legal advice merely by making its platform available.
8. Third-Party Execution and Infrastructure
Certain transactions may be executed, settled, processed or supported through third-party infrastructure. A delay, outage, rejection, compliance restriction or technical failure affecting a third-party provider may affect a transaction or platform availability.
9. Transaction Instructions
You are responsible for reviewing transaction details before confirming an instruction, including amount, asset, destination and charges. Once submitted or processed, an instruction may not be reversible.
10. Cryptocurrency Wallet Addresses
You are solely responsible for providing the correct cryptocurrency wallet address and selecting the correct network where applicable. Transactions sent to an incorrect address or incompatible network may be permanently lost.
11. Transaction Limits
Transaction and withdrawal limits may apply depending on account tier, verification status, transaction type, risk assessment or applicable requirements.
12. Fees and Charges
Applicable transaction, processing, network or other charges will be communicated through the platform or applicable transaction flow. Third-party or network charges may apply.
13. Cryptocurrency Volatility
The value of cryptocurrencies can change rapidly. The Company does not guarantee any particular price, value, return or outcome from a transaction.
14. Prohibited Use
You must not use DE-NICK SWAP for unlawful purposes, fraud, money laundering, terrorist financing, proliferation financing, sanctions evasion, identity theft, unauthorised transactions or other prohibited activity. You must not circumvent verification, limits or security controls.
15. KYC, AML/CFT/CPF and Screening
The Company may conduct customer due diligence, identity verification, enhanced due diligence, sanctions screening, PEP screening, transaction monitoring and other compliance checks. Additional information, including source-of-funds or source-of-wealth information, may be requested where appropriate.
16. Account Suspension and Termination
The Company may suspend, restrict or terminate an account where reasonably necessary because of suspected unlawful activity, fraud, security concerns, failure to complete verification, breach of these Terms or legal/compliance requirements.
17. Privacy and Personal Data
Personal information is handled in accordance with the Company’s Privacy Policy, which forms part of these Terms.
18. Complaints and Disputes
Customers may submit complaints through the Company’s customer-support channels and should provide sufficient information to enable investigation.
19. Third-Party Services
Third-party services may be subject to separate terms or policies. The Company is not responsible for matters outside its reasonable control arising solely from third-party systems, subject to applicable law.
20. Intellectual Property
Unless otherwise stated, DE-NICK SWAP materials, software, text, graphics and related content are owned by or used by the Company under appropriate rights and may not be copied or commercially exploited without permission.
21. Availability of the Platform
The Company aims to maintain reliable services but does not guarantee uninterrupted or error-free availability.
22. Disclaimer
The platform and services are provided subject to these Terms and applicable law. The Company does not guarantee that every transaction will be available, completed within a particular period or processed at a particular price.
23. Limitation of Liability
To the extent permitted by applicable law, the Company will not be liable for losses arising from circumstances outside its reasonable control, including blockchain-network failures, market movements, third-party interruptions, or incorrect wallet information supplied by a customer. Nothing limits liability where prohibited by law.
24. Indemnity
To the extent permitted by law, you are responsible for losses, claims or expenses reasonably arising from your unlawful use of the platform, breach of these Terms, fraud or violation of another person’s rights.
25. Changes to These Terms
The Company may update these Terms to reflect operational, legal, regulatory or service changes.
26. Governing Law
These Terms shall be governed by the laws of the Federal Republic of Nigeria and subject to the jurisdiction of the appropriate Nigerian courts.
27. Regulatory Status Disclaimer
CAC registration is not, by itself, a licence or approval to conduct any regulated digital-asset or capital-market activity. The Company is progressively establishing and completing applicable regulatory and compliance requirements. No provision of these Terms, CAC registration, or any pending registration or application should be interpreted as representing that an unissued licence, approval or regulatory authorisation has already been obtained.
28. Severability
If any provision is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
29. Entire Agreement
These Terms, together with the Privacy Policy and policies expressly incorporated into them, constitute the agreement governing use of the platform, subject to any separate agreement applicable to a particular service.
